These Terms of Service (“Terms”) govern your access to and use of Teloa (“Teloa”, “we”, “us”, or “our”), including our website, applications, and services (collectively, the “Services”).

By accessing or using Teloa, you agree to be bound by these Terms, together with the Teloa Billing & Plan Change Policy and the Teloa Scope & Request Definition Policy, which are incorporated into these Terms by reference. If you do not agree, do not use the Services.

You represent that:

• You are at least 18 years old
• You have the legal authority to enter into this agreement
• If acting on behalf of a company, you are authorized to bind that entity

• You must provide accurate and complete information.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity occurring under your account, including activity by team members you invite

Teloa is not liable for unauthorized access caused by your failure to secure your account.

Teloa is a managed design and build platform, powered by an in-house team, that allows users and companies to:

• Submit design and build requests, and propose timelines for them
• Communicate with Teloa administrators directly on each request
• Track request status in real time
• Receive, review, and approve completed deliverables
• Raise custom requests for work outside the standard catalog

1. Billing
   • Subscriptions are billed in advance on a recurring basis (monthly or quarterly).
   • Custom Development & Projects work is not a subscription; it is scoped and quoted per project, with payment due upon your approval of the quote and timeline
   • Fees are non-refundable except as required by law
   • Prices may change with prior notice
2. Active Request Limits

   Each subscription plan includes:

   • Unlimited requests submissions
   • A limit of 2 concurrent active requests
   • Requests exceeding the active limit are queued until slots opens
3. Plan Changes & Pausing

   Plan changes (in either direction) and plan pausing are available when you have no active requests, and are governed by the Teloa Billing & Plan Change Policy, including its rules on proration, credits, billing dates, and pause limits.

4. Cancellation
   • You may cancel your subscription at any time.
   • Cancellation takes effect at the end of the current billing period.
   • No refunds are issued for unused time unless required by law; paused plans follow the credit rules in the Billing & Plan Change Policy
   • You retain access to completed work through the end of your billing period

If offered:

• You propose a preferred timeline when submitting a request; work begins once Teloa approves the timeline or agrees a revised one with you
• Confirmed timelines are commitments, and Teloa schedules work against them
• If a request's timeline extends beyond the time remaining in your billing cycle, the request may not move to in-progress until you commit to the next cycle, as described in the Billing & Plan Change Policy

• Reasonable revisions are included, and we revise until the work meets the agreed brief
• Requests that materially change scope may be treated as a new request
• Oversized briefs may be split into multiple requests or proposed as a quoted custom project, as described in the Scope & Request Definition Policy
• Excessive or abusive revision patterns may be limited at Teloa's discretion

1. Ownership

   Upon full payment and approval of delivered work:

   • You receive ownership rights to the final delivered assets
   • Working files, drafts, and internal tools remain the property of Teloa unless otherwise agreed in writing
2. Portfolio Rights

   Teloa may display completed work for portfolio or marketing purposes unless the user requests confidentiality in writing.

3. Your Content

   You retain ownership of the content, files, and materials you upload. You grant Teloa a limited license to use them solely to deliver the Services, and you represent that you have the rights to everything you upload.

You agree not to:

• Use the Services for unlawful purposes
• Upload infringing, malicious, or harmful content
• Circumvent platform limits, including request capacity, pause, or billing rules
• Harass or abuse Teloa staff
• Resell or sublicense the Services without Teloa's written consent

Teloa may suspend or terminate access if you:

• Violate these Terms or the incorporated policies
• Engage in fraud or abuse
• Misuse the platform

Termination does not entitle you to refunds. Sections 8, 11, 12, and 13 survive termination.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TELOA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TELOA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST BILLING PERIOD, OR, FOR CUSTOM PROJECTS, THE AMOUNT PAID FOR THE PROJECT GIVING RISE TO THE CLAIM

You agree to indemnify and hold harmless Teloa from any claims arising from:

• Your use of the Services
• Your content or requests
• Your violation of these Terms

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

We may update these Terms at any time. We will post updates on this page, and material changes will be notified with reasonable notice. Continued use constitutes acceptance.
