These Terms of Service (“Terms”) govern your access to and use of Teloa (“Teloa”, “we”, “us”, or “our”), including our website, applications, and services (collectively, the “Services”).

By accessing or using Teloa, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You represent that:

• You are at least 18 years old
• You have the legal authority to enter into this agreement
• If acting on behalf of a company, you are authorized to bind that entity

• You must provide accurate and complete information.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity occurring under your account.

Teloa is not liable for unauthorized access caused by your failure to secure your account.

Teloa provides a subscription-based design-as-a-service platform that allows users and companies to:

• Submit design requests
• Communicate with Teloa administrators
• Track request status
• Receive completed design deliverables

Teloa operates using an admin-managed workflow.

1. Billing
   • Subscriptions are billed in advance on a recurring basis (monthly or annually).
   • Fees are non-refundable except as required by law.
   • Prices may change with prior notice.
2. Active Request Limits

   Each subscription plan includes:

   • Unlimited requests
   • A limit on concurrent active requests
   • Requests exceeding the active limit are queued.
3. Cancellation
   • You may cancel your subscription at any time.
   • Cancellation takes effect at the end of the current billing period.
   • No refunds for unused time unless required by law.

If offered:

• Trials are limited in duration
• Abuse of trial access is prohibited
• Teloa reserves the right to revoke trial access at its discretion

• Users may suggest timelines.
• Final delivery timelines are confirmed or adjusted by Teloa administrators.
• Delivery times depend on complexity and workload.
• Teloa does not guarantee fixed delivery dates unless expressly agreed in writing.

• Reasonable revisions are included.
• Requests that materially change scope may require a new request.
• Excessive revisions may be limited at Teloa’s discretion.

1. Ownership

   Upon full payment:

   • Users receive ownership rights to the final delivered design assets.
   • Working files, drafts, and internal tools remain the property of Teloa unless otherwise agreed.
2. Portfolio Rights

   Teloa may display completed work for portfolio or marketing purposes unless the user requests confidentiality in writing.

You agree not to:

• Use the Services for unlawful purposes
• Upload infringing or harmful content
• Circumvent platform limits
• Harass or abuse Teloa staff or workers

Teloa may suspend or terminate access if you:

• Violate these Terms
• Engage in fraud or abuse
• Misuse the platform

Termination does not entitle you to refunds.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TELOA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TELOA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST BILLING PERIOD

You agree to indemnify and hold harmless Teloa from any claims arising from:

• Your use of the Services
• Your content or requests
• Your violation of these Terms

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Delaware.

We may update these Terms at any time. Continued use constitutes acceptance.
